Please read these Terms of Use ("Terms") carefully before using any website, mobile application, or other digital property owned or operated by GrowthLabs Partners, LLC, and its subsidiaries and affiliates (collectively, "GrowthLabs Partners," "we," "our," or "us") (collectively, the "Digital Properties"). These Terms govern your access to and use of the Digital Properties and the products, services, content, and features made available through the Digital Properties (collectively, the "Services").

By accessing or using the Digital Properties, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Digital Properties or the Services.

1. ACCEPTANCE OF TERMS

By accessing or using our Digital Properties, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with and be bound by these Terms. If you are accessing or using the Digital Properties on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Your continued use of the Digital Properties following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. DESCRIPTION OF SERVICES

GrowthLabs Partners provides a platform and related services that connect individuals and businesses with information, tools, and third-party providers. The Services may include, but are not limited to, informational content, lead generation and referral services, marketing tools, and access to third-party products and services.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. ELIGIBILITY

The Services are intended solely for users who are 18 years of age or older and reside in the United States. By using the Digital Properties, you represent and warrant that you meet these eligibility requirements. We reserve the right to terminate your access to the Services if we discover or have reason to believe that you do not meet these requirements.

4. USER ACCOUNTS

Certain features or areas of the Digital Properties may require you to register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information as prompted during the registration process;
  • Maintain and promptly update your account information to keep it accurate, current, and complete;
  • Keep your password confidential and not share it with any third party;
  • Notify us immediately of any unauthorized use of your account or any other breach of security; and
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account at any time in our sole discretion, including if we believe you have violated these Terms or any applicable law.

Your use of the Digital Properties is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Digital Properties, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy. Please review our Privacy Policy carefully.

6. THIRD-PARTY SERVICES AND LINKS

The Digital Properties may contain links to, or allow you to access, third-party websites, services, or content that are not owned or controlled by GrowthLabs Partners. We do not endorse, sponsor, or assume any responsibility for any such third-party websites, services, or content. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

When you submit a request or inquiry through our Services, we may share your information with third-party providers in our network. Your interactions with those third parties — including any products or services they provide to you — are solely between you and the applicable third party and are governed by that third party's own terms and policies. We strongly encourage you to review the terms and privacy policies of any third party before engaging with their services.

7. INTELLECTUAL PROPERTY

All content on the Digital Properties, including but not limited to text, graphics, logos, images, icons, software, and the compilation thereof (collectively, "Content"), is the property of GrowthLabs Partners or its content suppliers and is protected by applicable United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Digital Properties and Content solely for your personal, non-commercial use in accordance with these Terms. You may not:

  • Copy, reproduce, distribute, publish, display, or create derivative works of any Content without our prior written consent;
  • Use any Content for commercial purposes without our prior written consent;
  • Remove or alter any proprietary notices, labels, or marks on any Content;
  • Use any data mining, robots, scraping, or similar data gathering or extraction methods on the Digital Properties; or
  • Frame or mirror any portion of the Digital Properties without our prior written consent.

All rights not expressly granted herein are reserved by GrowthLabs Partners.

8. PROHIBITED CONDUCT

You agree that you will not use the Digital Properties or Services to:

  • Violate any applicable federal, state, local, or international law or regulation;
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity;
  • Interfere with or disrupt the operation of the Digital Properties or servers or networks connected to the Digital Properties;
  • Attempt to gain unauthorized access to any portion of the Digital Properties or any systems or networks connected to the Digital Properties;
  • Introduce any viruses, trojan horses, worms, or other harmful or malicious code;
  • Collect or harvest any personally identifiable information from the Digital Properties without authorization; or
  • Engage in any conduct that restricts or inhibits any other person from using or enjoying the Digital Properties.

9. DISCLAIMER OF WARRANTIES

THE DIGITAL PROPERTIES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GROWTHLABS PARTNERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Digital Properties will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information available through the Digital Properties. Any reliance you place on such information is strictly at your own risk.

The Services are intended for informational purposes only and do not constitute professional financial, legal, tax, or other advice. You should consult a qualified professional before making any financial or legal decisions.

10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GROWTHLABS PARTNERS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to or use of, or inability to access or use, the Digital Properties or Services;
  • Any conduct or content of any third party on the Digital Properties;
  • Any content obtained from the Digital Properties; or
  • Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL GROWTHLABS PARTNERS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless GrowthLabs Partners, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Digital Properties or Services; (c) your User Content (as defined below); or (d) your violation of any third party's rights.

12. USER CONTENT

If you submit, post, or otherwise make available any content, data, or information through the Digital Properties ("User Content"), you grant GrowthLabs Partners a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and providing the Services.

You represent and warrant that: (a) you own or have the necessary rights to submit the User Content and grant the license described above; and (b) the User Content does not violate any applicable law or the rights of any third party. We reserve the right to remove any User Content at any time in our sole discretion.

13. ELECTRONIC COMMUNICATIONS

By using the Digital Properties, you consent to receive electronic communications from us. These communications may include notices about your account, transactional information, and other information related to the Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically satisfy any legal requirement that such communications be in writing.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any such proceeding in Delaware.

15. ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and GrowthLabs Partners agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Delaware or by telephone or video conference.

You and GrowthLabs Partners each agree to bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class or representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

16. TERMINATION

We reserve the right to suspend or terminate your access to the Digital Properties and Services at any time, with or without cause or notice, including if we believe you have violated these Terms or any applicable law. Upon termination, your right to use the Digital Properties and Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

17. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and GrowthLabs Partners with respect to the Digital Properties and Services, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties regarding the same.
